These Terms and Conditions ("Terms") govern your access to and use of all services provided by Cupisweb Technology LTD (Company Registration No. 8209413), including web hosting, domain registration, email hosting, and related services (collectively, the "Services"). By purchasing or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.

1. Eligibility

You must be at least 18 years of age to purchase or use our Services. By creating an account, you confirm that you are at least 18 years old and have the legal capacity to enter into a binding agreement. Cupisweb reserves the right to refuse service to anyone at our sole discretion.

2. Account Registration

To access our Services, you must register an account and provide accurate, complete, and up-to-date information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately at [email protected] if you suspect unauthorized access

Cupisweb is not liable for any loss arising from unauthorized use of your account.

3. Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with our Acceptable Use Policy (AUP). You must not use our Services to:

• Host phishing websites, cryptocurrency scam sites, or wallet drainers
• Facilitate advance-fee fraud (419), identity theft, or any financial fraud
• Distribute malware, ransomware, spyware, or malicious code
• Send spam or unsolicited bulk email
• Host or distribute illegal content, including child exploitation material
• Infringe on intellectual property rights of any third party
• Engage in any activity that disrupts or interferes with our network or servers
• Violate any applicable local, national, or international law or regulation

Violation of this section may result in immediate account suspension or termination without refund.

4. Payment and Billing

All fees are charged in advance on a monthly or annual basis depending on your chosen plan. By providing payment information, you authorize Cupisweb to charge the applicable fees.

• Payment Methods: We accept credit/debit cards, bank transfers, and cryptocurrency via our payment processors (Paystack, Cryptomus)
• Late Payments: Services may be suspended if payment is not received by the due date
• Price Changes: We reserve the right to modify pricing with at least 30 days' notice
• Taxes: You are responsible for any applicable taxes in your jurisdiction

5. Refund Policy

Our refund policy is outlined in detail on our Refund Policy page. In general:

• Hosting services may be eligible for a refund within the specified money-back guarantee period
• Domain registrations are non-refundable once processed
• No refunds are issued for accounts suspended or terminated due to policy violations

6. Service Availability & Uptime

Cupisweb commits to a 99.9% uptime guarantee for all hosting services. Downtime caused by the following is excluded from this guarantee:

• Scheduled maintenance (announced in advance)
• Events outside our reasonable control (force majeure)
• Actions or omissions by the customer
• Third-party service failures

In the event of downtime exceeding our guarantee, customers may be eligible for service credits as outlined in their service agreement.

7. Data Backups

Cupisweb performs daily backups as a courtesy. However, you are solely responsible for maintaining your own backups. We strongly recommend using our CodeGuard Website Backup service. Cupisweb is not liable for any data loss.

8. Intellectual Property

All content on the Cupisweb website, including logos, text, graphics, and software, is the property of Cupisweb Technology LTD and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

You retain ownership of all content you upload to our servers. By hosting content with us, you grant Cupisweb a limited license to store and serve that content solely for the purpose of providing the Services.

9. Suspension and Termination

Cupisweb reserves the right to suspend or terminate your account at any time for:

• Violation of these Terms or our AUP
• Non-payment of fees
• Receipt of verified abuse complaints related to your account
• Any activity that may expose Cupisweb or our upstream providers to legal liability

Upon termination, your data may be deleted. We are not liable for any loss of data resulting from account termination.

10. Abuse Reporting

Cupisweb maintains a zero-tolerance policy for the misuse of our infrastructure. If you become aware of any abuse originating from our network, please report it immediately to [email protected]. All reports are acknowledged within 12 hours and investigated promptly. We cooperate fully with law enforcement, upstream providers, and cybersecurity organizations.

11. Limitation of Liability

To the maximum extent permitted by law, Cupisweb shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, or business interruption, arising out of your use of or inability to use our Services.

Our total liability to you for any claim arising out of or relating to these Terms or our Services shall not exceed the amount you paid to Cupisweb in the three (3) months preceding the claim.

12. Disclaimer of Warranties

Our Services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

13. Indemnification

You agree to indemnify, defend, and hold harmless Cupisweb Technology LTD, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from your use of the Services, your violation of these Terms, or your violation of any third-party rights.

14. Third-Party Services

Our Services may integrate with or link to third-party platforms (e.g., Paystack, Cryptomus, Google Analytics). Cupisweb is not responsible for the content, privacy practices, or actions of any third-party services. Your use of third-party services is governed by their respective terms and policies.

15. Domain Registration

Domain registrations are subject to our Domain Registration Agreement and the policies of the relevant registry. Domain renewals are your responsibility — Cupisweb will send renewal reminders but is not liable for domains that expire due to non-payment.

16. Privacy

Your use of our Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

17. Modifications to Terms

Cupisweb reserves the right to update these Terms at any time. We will notify you of significant changes via email or a notice on our website. Continued use of our Services after changes take effect constitutes your acceptance of the updated Terms.

18. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Nigeria.
